These Terms and Conditions ("Terms") govern your use of the PitchGrid mobile application and website (collectively, the "Service") operated by Proliferaite ("us", "we", or "our").

1. Acceptance of Terms

By accessing and using PitchGrid, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

PitchGrid is a mobile application that allows users to:

• Record and import video content
• Synchronize multiple video files
• Analyze video content for sports and other purposes
• Export synchronized video grids
• Share video content with others

3. User Accounts and Responsibilities

3.1 Account Creation

You may need to create an account to use certain features. You are responsible for maintaining the confidentiality of your account information.

3.2 User Content

You retain ownership of any video content you create or upload. By using our Service, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service.

3.3 Prohibited Content and Uses

PitchGrid is intended exclusively for sports training, technique analysis, and legitimate athletic coaching purposes.

You agree NOT to upload, store, or share content that contains or depicts:

ZERO TOLERANCE - Immediate Account Termination + Law Enforcement Reporting:

• Child sexual abuse material (CSAM) or exploitation of minors
• Non-consensual intimate imagery or "revenge porn"
• Content depicting illegal activities (violence, drug trafficking, etc.)
• Terrorist content or credible threats of violence

PROHIBITED - Account Termination:

• Copyrighted content you don't own or have permission to share
• Content recorded without consent of all individuals featured
• Content violating others' privacy, publicity, or data protection rights
• Sexually explicit, pornographic, or obscene content
• Harassment, bullying, hate speech, or discriminatory content
• Graphic violence unrelated to legitimate athletic training
• Deepfakes or manipulated content intended to deceive
• Spam, malware, or malicious code

Required for All Shared Content:

• You must own all rights to the content or have explicit permission to share it
• All persons appearing in videos must have consented to being recorded and shared
• Content must be relevant to sports, athletics, or physical training
• You are solely responsible for ensuring your content complies with all applicable laws

3.4 Content Sharing Agreement

Before sharing any grid or video content with others, you will be required to acknowledge that:

• You have read and agree to these content restrictions
• You own the rights to all content you are sharing
• All persons in your videos have consented to the recording and sharing
• You understand that violations may result in immediate account termination and legal action

4. Content Reporting and Moderation

4.1 Reporting Inappropriate Content

If you encounter content that violates these Terms, you can report it:

• Use the "Report" button in the app when viewing shared content

• Include the share URL and a description of the violation

We review all reports within 24-48 hours. Content found to violate our Terms will be removed immediately. Illegal content will be reported to law enforcement as required by law.

4.2 Our Moderation Rights

We reserve the right to:

• Remove any content that violates these Terms
• Suspend or terminate accounts for violations
• Report illegal content to appropriate authorities
• Cooperate with law enforcement investigations
• Preserve content and account information for legal purposes

Note: We do not proactively monitor or review user content. Moderation occurs in response to user reports or legal requests.

5. DMCA Copyright Policy

5.1 Copyright Compliance

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA).

5.2 Filing a DMCA Takedown Notice

If you believe content on PitchGrid infringes your copyright, send a written notice to our DMCA Agent:

Your notice must include:

• Your contact information (name, address, phone, email)
• Description of the copyrighted work you claim was infringed
• Location of the infringing material (share URL)
• A statement that you have a good faith belief the use is not authorized
• A statement under penalty of perjury that your notice is accurate and you are authorized to act
• Your physical or electronic signature

5.3 Counter-Notification

If your content was removed due to a DMCA notice and you believe the removal was in error, you may file a counter-notification at the same email address with:

• Your contact information
• Identification of the removed content and its prior location
• A statement under penalty of perjury that the content was removed by mistake or misidentification
• Your consent to jurisdiction in your local federal court
• Your physical or electronic signature

5.4 Repeat Infringer Policy

We will terminate accounts of users who repeatedly infringe copyrights. Three valid DMCA takedown notices will result in permanent account termination.

6. Intellectual Property Rights

6.1 Our Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Proliferaite and its licensors. The Service is protected by copyright, trademark, and other laws.

6.2 Your Rights

You retain all rights to your video content. We do not claim ownership of your videos or any content you create using our Service.

7. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

8. Free and Paid Features

8.1 Free Features

We offer certain features of the Service for free, which may include advertisements.

8.2 Premium Features

Some features may require payment. Pricing and billing terms will be clearly disclosed before any purchase.

8.3 Refunds

Refunds are handled according to the policies of the platform where you made your purchase (Google Play Store or App Store).

9. Disclaimers and Limitations

9.1 Service Availability

We strive to keep the Service available, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or other reasons.

9.2 Limitation of Liability

To the fullest extent permitted by law, Proliferaite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may also delete your account at any time. Shared content you created will be removed from our servers upon account deletion.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12. Governing Law

These Terms shall be interpreted and governed by the laws of the United States and the jurisdiction where Proliferaite operates, without regard to its conflict of law provisions.
